A limited company in Thailand requires 3 Investors as promoters and shareholders of the company. An ordinary person aged 12 years old can set up a company in Thailand regardless of his/her nationality.
Pursuant to the Civil and Commercial Code there are 2 types of share, namely an ordinary share and a preferred share. The minimum price of a share must be not less than 5 THB per share and the minimum registered capital is 15 THB (5 THB X 3 Shareholders). When setting up a company, only 25% of the registered capital needs to be paid.
You need to ensure firstly that the company is 51% Thai owned so that it can receive the incentives and benefits of being a Thai juristic person i.e. the ability to buy a piece of land. There is also a requirement of a minimum of 2 Million THB registered capital if there is a foreign worker working for the company.
A company director is a representative or agent of the company. If a company director operates the company in accordance with his authorised power, he does not have any liability to the company (or the shareholders) unless the company director agrees to have unlimited liability or unless he exceeds his authorised powers.
A company only requires a company seal when the authority of authorised director specifies that a company seal is required for a company director to sign a document with a company seal.
As it is a limited company, an investor/a shareholder is limited only to the value of their shares.
In order to shut down or dissolve a company, a special resolution (3/4) from a shareholder meeting is required.
